1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you and RaceLive.net ("RaceLive," "we," "us," or "our") governing your access to and use of the RaceLive website, applications, APIs, and streaming services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
Please read Sections 16 and 17 (disclaimers and limitation of liability) and Section 20 (binding arbitration and class-action waiver) carefully — they affect your legal rights, including how disputes are resolved.
2. Definitions
- Event Organizer — a user who creates and configures a race or event on the Service.
- Camera Operator / Volunteer — a person who streams live video to an event using a smartphone or other RTMP-capable device.
- Athlete / Participant — a person taking part in a race or event covered on the Service.
- Viewer — any person who watches a public or shared stream or recording.
- User Content — any video, audio, images, rosters, event details, or other materials you submit, stream, or upload.
- Infrastructure — the cloud streaming resources (ingest, transcoding, distribution, recording) provisioned for an event.
3. Eligibility
You must be at least 18 years old to create an account or act as an Event Organizer. By using the Service, you represent that you meet this requirement. The Service is not directed to children under 13, and we do not knowingly collect their personal information.
4. Accounts and Security
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@racelive.net of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.
5. Description of the Service
RaceLive provides a platform for live-streaming and recording endurance and race events, including automated, AI-assisted camera switching and bib-number detection ("bib tracking"). Event Organizers configure events; Camera Operators stream live video from the field; Viewers watch live or recorded coverage.
Features, capabilities, and limits (such as the maximum number of cameras per event) may change over time. We do not guarantee that any particular feature will remain available.
6. Event Organizer Responsibilities
If you create an event, you are responsible for:
- Obtaining all rights, permissions, and consents necessary to record, stream, and broadcast the event, its participants, staff, and spectators, including any required releases for likeness and, where applicable, for minors;
- Complying with all venue rules, permits, and local, state, and national laws regarding recording and broadcasting in public and private spaces;
- The accuracy and lawful use of any participant roster (e.g., athlete names and bib numbers) you upload, and for honoring participant requests to remove their data;
- Configuring event visibility (public or private) and embedding settings appropriately;
- The conduct of Camera Operators and volunteers you authorize for your event;
- Ensuring participants are informed that bib tracking may associate their bib number with footage timestamps and camera locations.
7. Camera Operators and Streaming
Camera Operators must only stream content they are authorized to capture and must follow the Event Organizer's and venue's instructions. You may not stream content that is unlawful, infringing, harassing, or that otherwise violates Section 9.
Stream keys and RTMP credentials are confidential, are tied to a single event, and are rotated and invalidated after the event concludes. You may not share or reuse them.
8. User Content and License
You retain ownership of your User Content. By submitting or streaming User Content, you grant RaceLive a worldwide, non-exclusive, royalty-free license to host, store, transcode, transmit, display, distribute, and create technical derivatives of that content solely as necessary to operate and provide the Service — for example, to ingest a stream, switch cameras, detect bib numbers, distribute the broadcast to authorized Viewers, and store recordings for the retention period described in our Privacy Policy.
This license ends when the content is deleted from the Service, except for residual copies in routine backups and as required by law. You represent that you hold all rights necessary to grant this license and that your User Content does not violate any third party's rights.
9. Acceptable Use
You agree not to:
- Stream or upload content that is illegal, defamatory, obscene, infringing, or that violates others' privacy or publicity rights;
- Use the Service to harass, stalk, or endanger any person;
- Circumvent, disable, or interfere with security, billing, or access controls;
- Reverse engineer, scrape, or place unreasonable load on the Service or its APIs except as expressly permitted;
- Resell, sublicense, or provide the Service to third parties except as an Event Organizer using it for your own events;
- Misappropriate stream keys, credentials, or another user's account;
- Use bib tracking or any participant data for unlawful surveillance, marketing without consent, or any purpose prohibited by law.
We may remove content or suspend access that we reasonably believe violates these Terms.
10. Recording, Broadcasting, Likeness, and Minors
Live races commonly occur in public spaces where participants, spectators, and minors may be captured on camera.
The Event Organizer — not RaceLive — is responsible for obtaining any consents and complying with all laws governing the recording and broadcasting of identifiable individuals, including minors.
If you are an individual who appears in footage and wish to have associated bib-detection data removed, contact the relevant Event Organizer, who controls their event data, or contact us at privacy@racelive.net.
11. Intellectual Property
The Service, including its software, design, logos, text, and the "RaceLive" name and marks, is owned by RaceLive and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, or create derivative works of the Service itself.
12. Fees, Billing, and Payment
Card on file
When you create an event, you provide a payment method that is securely saved with our payment processor. No charge is made at the time of event creation.
Charge at spin-up
Your saved payment method is charged when the event's streaming Infrastructure is started ("spin-up"), based on the event's then-current configuration (such as camera count, participant count, and selected options). Because pricing reflects current settings at spin-up, changing your event before spin-up may change the amount charged.
Pricing
Fees consist of a base price plus add-ons (e.g., per additional camera and per participant) and any applicable discount codes, as displayed before you start the event.
Failed payments
If a charge fails, Infrastructure will not start, your event will remain scheduled, and we will notify you by email so you can update your payment method and retry.
Taxes
Stated prices may exclude taxes; you are responsible for any applicable taxes.
Refunds
Fees for streaming Infrastructure that has been provisioned are generally non-refundable. However, if an event experiences a material service failure that is attributable to RaceLive (for example, Infrastructure that fails to start or is unavailable due to a fault on our side), we will, in good faith, issue a full or partial refund or credit for the affected event. Refund requests should be sent to legal@racelive.net or support@racelive.net within 30 days of the event. This does not limit any rights you have under applicable law.
Payment processor
Payments are processed by a third-party processor; we do not store full card numbers. Your use of payment features is also subject to the processor's terms.
13. Service Availability and Infrastructure
Streaming Infrastructure is provisioned automatically (typically shortly before the scheduled start) or manually from your dashboard, and is automatically shut down at the scheduled end of the event. Startup takes a short time (typically around 90 seconds) before a stream can go live.
The Service is provided on a reasonable-efforts basis. We do not guarantee uninterrupted or error-free operation, specific stream quality, or that Infrastructure will start or remain available, as live streaming depends on factors outside our control (including cellular coverage, third-party cloud providers, and Camera Operator equipment). Unless separately agreed in writing, we offer no uptime service-level guarantee.
14. Third-Party Services
The Service relies on third-party providers, including Amazon Web Services for cloud infrastructure and a third-party payment processor. Your use of the Service may be affected by these providers, and your data is handled as described in our Privacy Policy. We are not responsible for the acts or omissions of third-party providers.
15. Privacy
Our collection and use of personal data, including bib-detection data and athlete rosters, is described in our Privacy Policy. By using the Service, you acknowledge that policy.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT BIB DETECTION OR AI CAMERA SWITCHING WILL BE ACCURATE OR COMPLETE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RACELIVE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RACELIVE FOR THE EVENT GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
18. Indemnification
You agree to indemnify and hold harmless RaceLive from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your events, your use of the Service, your violation of these Terms, or your violation of any law or third-party right — including claims by participants, spectators, or minors regarding recording, broadcasting, or use of their likeness or data.
19. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay fees, or create risk or legal exposure for RaceLive or others.
Upon termination, your right to use the Service ends; sections that by their nature should survive (including the content license for residual copies, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive. Recordings and data are deleted according to the retention schedule in our Privacy Policy.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, excluding its conflict-of-laws rules.
Binding arbitration
Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. Arbitration will take place in Luzerne County, Pennsylvania (or by remote/video hearing where available), and judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver
You and RaceLive agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Exceptions
Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the Service.
Opt-out
You may opt out of this arbitration agreement by emailing legal@racelive.net within 30 days of first accepting these Terms; opting out does not affect any other part of these Terms.
21. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by posting a notice on our website and, where appropriate, by email. Changes are effective when posted (or on the stated effective date). Continued use of the Service after an update constitutes acceptance of the revised Terms.
22. Miscellaneous
These Terms, together with the Privacy Policy and any order-specific terms, are the entire agreement between you and RaceLive. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
